Business Resilience Oversight

CDW maintains a strong governance structure that guides principled decision-making and provides effective oversight of our business resilience strategy. CDW's Board of Directors maintains oversight of CDW's business resilience programs and policies through its Nominating and Corporate Governance Committee, which comprises all independent members of the Board. The CDW CEO provides executive leadership and direction on priority business resilience topics.
At the management level, the Chief Legal Officer and the Executive Vice President, Risk and Compliance, serves as executive sponsor for the global business resilience program. Leadership on the strategy, including goals, programs, policies and disclosure of priority topics is provided by a cross-functional Steering Committee made up of executive-level leaders.
The day-to-day work is spearheaded by the business resilience team, who help embed sustainable and business resilience practices across the enterprise to drive long-term value creation. They accomplish this by managing and executing the strategy, governance, risk management, reporting and disclosures, communications and performance by collaborating with other CDW business units and external partners.
One of those key internal collaborators is our ERM function, which prioritizes and reports on broader business risks, reinforces an active, integrated approach to risk management, and embeds risk management into governance structures across the enterprise.
