CDW maintains a strong governance structure that guides principled decision-making and provides effective oversight of our business resilience strategy.

Board of Directors

CDW's Board of Directors maintains oversight of CDW's business resilience programs and policies through its Nominating and Corporate Governance Committee, which comprises all independent members of the Board.

Chief Executive Officer

The CEO provides executive leadership and direction on priority business resilience topics.

Chief Legal Officer and Executive Vice President, Risk and Compliance

At the management level, the Chief Legal Officer and Executive Vice President, Risk and Compliance, serves as executive sponsor for the global business resilience program. A cross-functional Steering Committee made up of executive-level leaders directs the strategy, including goals, programs, policies, and disclosure of priority topics.

Business Resilience Team

Our business resilience team spearheads the day-to-day work, embedding sustainable and business resilience practices across the enterprise to drive long-term value. This team manages and executes the strategy, governance, risk management, reporting and disclosures, communications, and performance in collaboration with other CDW business units and external partners.

Enterprise Risk Management Function

A key internal collaborator is our Enterprise Risk Management (ERM) function, which prioritizes and reports on broader business risks, reinforces an active, integrated approach to risk management, and embeds risk management into our governance structures.

Engaging Stakeholders

CDW engages a broad set of stakeholders on business resilience topics, including customers, coworkers, institutional investors, partners, and communities. Our engagement approach reflects our commitment to transparency and continuous improvement.

Double Materiality Assessment (DMA):

Customer and RFP responses:

CDW receives and tracks sustainability-related questions from customers across all segments and geographies. These inquiries inform our reporting priorities and program development.

Investor engagement:

CDW responds to investor questionnaires, participates in earnings discussions, and maintains transparency through annual reporting aligned to globally recognized frameworks.

Coworker listening:

Regular feedback channels, including pulse surveys and Business Resource Group (BRG) input, help infuse coworker priorities into our programs.

Partner engagement:

Through collaborations such as Partner Sustainability Councils and supply chain reporting frameworks, CDW engages its supply chain and technology partners on shared business resilience goals and initiatives.
