CDW upholds an unwavering commitment to strong corporate governance that spans all levels of the organization, including our Board of Directors. We view governance as a working structure that guides principled actions, effective decision-making, and appropriate monitoring of performance and compliance.

The CDW Board of Directors oversees the company's strategic direction and long-term interests, guided by its Corporate Governance Guidelines and committee charters. These guidelines and charters establish key governance principles, outline board composition, and define the responsibilities of the Board's independent committees: Audit, Compensation, and Nominating and Corporate Governance. The Audit Committee has oversight of Enterprise Risk Management (ERM). The Nominating and Corporate Governance Committee’s responsibilities include climate risk and other environmental sustainability related topics.

This governance structure supports effective oversight on behalf of stockholders and promotes rigorous, principled decision-making across the enterprise.

Building AI Fluency

AI360 is CDW's organization-wide initiative to coordinate AI progress and leverage the power of our people and AI to deliver better and faster Services & Solutions and create new value for customers while proceeding responsibly and ethically. It reflects our vision of thoughtfully embedding AI into every core process at CDW to fuel growth, innovation, and coworker empowerment.

As part of AI360, we established an AI Center of Excellence, which unifies our AI roadmap, manages risk and policy, and tracks performance and return on investment. Our AI governance approach combines cross-functional leadership with executive oversight to ensure disciplined, ethical, and transparent AI deployment. Through an agile governance framework aligned with leading standards, we promote shared responsibility and consistent oversight of AI use across the organization. We organize this work across four quadrants:
